Terms of Use
Effective September 12, 2026
These Terms of Use govern your access to and use of vintonadler.com (the “Website”), operated by Vinton Adler & Co. (“VA&Co,” “we,” “us,” or “our”). By accessing or using the Website, you agree to these Terms.
Website Purpose
The Website provides information about VA&Co, the products and systems we build, and ways to contact us or submit a project request.
Website content is provided for general informational purposes and may be changed or updated without notice.
Project Requests
Submitting a project request, email, inquiry, or other communication does not create a client relationship, obligate you to purchase services, obligate VA&Co to accept a project, or constitute an agreement to perform work.
A project begins only when the parties complete the applicable agreement, Statement of Work, payment requirement, or other written authorization established for that engagement.
Client Agreements Control
Paid services provided by VA&Co may be governed by a separate proposal, Statement of Work, service agreement, change order, invoice terms, or other written agreement.
If a separate signed agreement conflicts with these Website Terms regarding a paid engagement, the separate agreement controls for that engagement.
Confidential Information
Do not use the Website's project-request form to submit passwords, financial credentials, Social Security numbers, payment-card numbers, protected health information, trade secrets requiring special handling, or other highly sensitive information.
Submitting information through the Website does not by itself create a confidentiality or nondisclosure agreement.
If a project requires confidential information, the parties may establish appropriate confidentiality terms separately.
Permitted Use
You may use the Website for lawful purposes, including learning about VA&Co and contacting us regarding legitimate business opportunities or projects.
You may not interfere with the Website's operation or security, attempt unauthorized access to systems or data, submit malicious code, abuse or overwhelm forms or infrastructure, impersonate another person or organization, use the Website for unlawful or fraudulent purposes, or attempt to circumvent security measures.
Intellectual Property
Unless otherwise stated, the Website and its original content, design, graphics, interface elements, copy, code, branding, and other materials are owned by VA&Co or used with appropriate permission and are protected by applicable intellectual-property laws.
You may view and use the Website for its intended purpose.
Nothing in these Terms transfers ownership of VA&Co intellectual property to you.
Ownership and licensing of work created for customers are governed by the applicable client agreement.
Demonstrations and Concept Material
The Website may display demonstrations, prototypes, conceptual systems, internal products, or representative interfaces to explain VA&Co's capabilities.
Unless explicitly identified as client work, such material should not be interpreted as a claim that it represents a particular customer, customer result, transaction, metric, or live production environment.
Third-Party Services and Links
The Website may reference or link to third-party services, platforms, tools, or websites.
VA&Co does not control third-party services and is not responsible for their availability, security, content, policies, or practices.
Your use of third-party services is subject to their applicable terms and policies.
No Guarantee of Availability
We work to keep the Website accurate and available, but we do not guarantee uninterrupted operation, error-free functionality, permanent availability of any feature, or that all information will always be current.
We may modify, suspend, or discontinue Website functionality at any time.
Disclaimer of Warranties
To the fullest extent permitted by law, the Website is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.
This Website disclaimer does not replace or modify warranties, obligations, or remedies expressly provided in a separate signed customer agreement.
Limitation of Liability
To the fullest extent permitted by applicable law, VA&Co will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising solely from your use of or inability to use the Website.
Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.
Liability relating to paid customer services is governed by the applicable customer agreement rather than this Website limitation where that agreement provides otherwise.
Privacy
Your use of the Website is also subject to our Privacy Policy.
Governing Law
These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Changes to These Terms
We may update these Terms as the Website, services, or legal requirements change.
The current version will be posted on this page with its effective date.
Your continued use of the Website after an updated version becomes effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.
Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
